You acknowledge and agree that you are purchasing a license to use our software, not ownership of the software itself. All rights, title, and interest in and to the software, including all intellectual property rights, remain with us and our licensors. Each license is valid for use on a single device only and is personal to you and may not be transferred, assigned, sublicensed, sold, shared, or otherwise distributed to any third party under any circumstances.
You are expressly prohibited from reverse engineering, decompiling, disassembling, or attempting to derive the source code of our software. You may not modify, adapt, alter, or create derivative works based on our software, remove proprietary notices, use the software for unlawful purposes, circumvent security measures, or attempt to gain unauthorized access to any portion of our software or services. Any violation may result in immediate termination of your license.
You agree not to disclose, share, distribute, or make available any information regarding our software, hardware, or services to any third party who does not possess an active and valid license for the same products. This includes technical specifications, user manuals, software functionality, hardware components, performance data, and any other proprietary information. This obligation survives termination of this agreement and continues indefinitely.
We may release updates, patches, bug fixes, or new versions of our software. You agree to install and use any such updates as they become available. Failure to install required updates may result in suspension or termination of your access to the software and services. You consent to the automatic download and installation of updates to ensure optimal performance and security.
Physical products sold by us are often customized to your specific requirements and configurations. Due to the customized nature of these products, they cannot be returned, exchanged, or refunded under any circumstances. You are responsible for providing accurate specifications and requirements for any physical products.
All sales are final. We do not offer refunds, returns, or exchanges for any software licenses or physical products under any circumstances. In rare and exceptional circumstances, at our sole discretion, we may offer store credit or discount codes for future purchases. However, we are under no obligation to provide such credits or codes. By purchasing our products or services, you expressly waive all rights to dispute charges, initiate chargebacks, or seek refunds through any payment processor or financial institution.
You are solely responsible for determining whether our software and hardware products are compatible with your existing systems, devices, and configurations before making a purchase. We make no warranties or representations regarding compatibility with your specific hardware, software, operating system, or other components. If our products do not function properly on your system due to compatibility issues, you acknowledge that this is not grounds for a refund or return.
All intellectual property rights in and to our software, services, products, logos, trademarks, trade names, service marks, copyrights, patents, trade secrets, and other proprietary materials are and shall remain our exclusive property. You may not use our trademarks, logos, company names, product names, or any other identifying marks under any circumstances without our prior written consent.
You retain ownership of any original content you create while using our services. However, by posting content through our services, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use such content in connection with our services. Any reviews or feedback you provide must be truthful, accurate, and based on your actual experience. We reserve the right to remove any reviews that we determine to be false, misleading, inappropriate, or in violation of these Terms.
We may immediately terminate or suspend your license and access to our software and services if we suspect, in our sole discretion, that you have violated any provision of these Terms. We reserve the right to investigate any suspected violations and to cooperate with law enforcement authorities. Upon termination, your right to use our software and services immediately ceases, and you must discontinue all use and delete all copies of our software from your devices.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE OUR SOFTWARE, SERVICES, OR PRODUCTS. You acknowledge and agree that your use of our software, services, and products is at your sole risk and discretion.
You agree to indemnify, defend, and hold harmless our company, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from your use of our software, services, or products, your violation of these Terms, your violation of any applicable laws or regulations, any content you post through our services, and any claims by third parties related to your use of our products or services.
We reserve the right to modify, update, or change these Terms at any time without prior notice. Changes will be effective immediately upon posting on our website or through our services. You are responsible for regularly reviewing these Terms to stay informed of any changes. Your continued use of our software or services after changes are posted constitutes your acceptance of the modified Terms.
Our services are intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use our services. You acknowledge that our software and related technical data may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations in your use of our products.
These Terms shall be governed by and construed in accordance with the laws of Curaçao, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Curaçao.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our software and services shall be resolved through binding arbitration rather than in court, except as otherwise provided herein. You agree that any arbitration or legal proceeding shall be limited to the dispute between you and us individually. You waive any right to participate in any class action or representative proceeding.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless made in writing and signed by our authorized representative.
These Terms, together with our Privacy Policy, Terms of Sale and any other policies or agreements referenced herein, constitute the entire agreement between you and us regarding the use of our software, services, and products. These Terms supersede all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, both written and oral, regarding such subject matter.
